These Terms and Conditions ("Terms") govern your access to and use of the Railon platform, services, and API (collectively, the "Services") provided by Railon ("Company", "we", "us", or "our"), a technology company registered in Mexico. By accessing or using our Services, you agree to be bound by these Terms.
Railon operates exclusively as a financial technology infrastructure provider. The Company provides software, API access, and technical infrastructure that facilitates connectivity between businesses and regulated financial service providers. Railon does not hold, custody, transmit, or process customer funds in its own name.
All regulated financial activities — including payment processing, money transmission, fund settlement, and currency conversion — are conducted exclusively through Railon's network of duly licensed and authorized financial institution partners. These partners hold the necessary licenses and authorizations required under applicable law in their respective jurisdictions of operation.
Nothing on the Railon platform constitutes financial, investment, legal, or tax advice. You are solely responsible for your own financial decisions and for compliance with applicable laws in your jurisdiction.
You may use the Services only if:
You are solely responsible for ensuring that your use of the Services complies with all applicable local, national, and international laws and regulations, including without limitation anti-money laundering (AML) laws, know your customer (KYC) requirements, data protection regulations, and financial services regulations in your jurisdiction.
You may not use the Services for any purpose that is unlawful, fraudulent, or prohibited by these Terms, including:
You agree to provide accurate, complete, and current information as required for onboarding, KYC/KYB verification, and ongoing compliance monitoring. You agree to promptly update such information if it changes.
Subject to these Terms and payment of applicable fees, Railon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Railon API solely for the purpose of integrating the Services into your platform. You may not sublicense, sell, resell, or otherwise transfer API access to third parties without prior written consent from Railon.
Fees for the Services are set forth in your applicable order form or service agreement. All fees are exclusive of taxes. Railon reserves the right to modify fees upon reasonable prior notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.
All intellectual property rights in the Railon platform, API, documentation, and related materials are owned by or licensed to Railon. Nothing in these Terms transfers any intellectual property rights to you. You retain all rights to your own data and content.
Each party agrees to maintain the confidentiality of the other party's non-public information and to use such information only for purposes of performing obligations or exercising rights under these Terms.
Your use of the Services is also governed by our Privacy Policy. You are responsible for ensuring that your collection and use of user data in connection with the Services complies with applicable data protection laws, including Mexico's Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).
To the maximum extent permitted by applicable law, Railon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Railon's total aggregate liability shall not exceed the amounts paid by you for the Services in the three (3) months preceding the claim.
You agree to indemnify, defend, and hold harmless Railon and its officers, directors, employees, agents, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation; or (iv) your violation of any rights of a third party.
Either party may terminate these Terms with thirty (30) days' written notice. Railon may suspend or terminate your access to the Services immediately if you breach these Terms, engage in prohibited activities, or if required by a licensed financial partner or applicable law.
These Terms shall be governed by and construed in accordance with the laws of the United Mexican States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Mexico City, Mexico.
Railon reserves the right to modify these Terms at any time. We will provide notice of material changes through the platform or by email. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.
